You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

Wholesale and B2B partners may not sub-license, assign, or transfer their wholesale account credentials or pricing agreements to any third party without prior written consent from Filo Hevis.

B2B wholesale catalogue prices, minimum order quantities (MOQs), and product availability are subject to change. Wholesale buyers are advised to confirm current pricing and stock levels directly with our team before placing bulk orders.

We reserve the right at any time to modify or discontinue the service (or any part or content thereof) without notice at any time.

For B2B and wholesale accounts, any agreed trade pricing or contract pricing shall remain valid only for the period explicitly stated in the written wholesale agreement. Outside of a confirmed agreement, standard price change terms apply.

SECTION 5 – PRODUCTS OR SERVICES

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store (website).

Minor variations (5-10%) may occur between the product and image due to manufacturing constraints. Actual product colors may vary slightly from images shown due to lighting conditions and individual screen settings. We reserve the right, but are not obligated, to limit the sales of our products or services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. For bulk and wholesale orders, product samples may be made available upon request prior to placing large orders. Wholesale buyers acknowledge that bulk garments are subject to the same variation tolerance (5-10%) as stated above. Custom labelling, packaging, or branding for B2B orders, if agreed, shall be governed by a separate written agreement. Due to unforeseen circumstances or events, delivery timelines may be subject to delay.

SECTION 6 – ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. If we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

For B2B and wholesale buyers, billing information must include valid GST/business registration details where applicable. Wholesale invoices will be issued as per mutually agreed payment terms. Late payments on bulk orders may attract applicable interest or suspension of the wholesale account as per the terms of the trade agreement in place.

SECTION 7 – SHIPPING POLICY
We shall try to deliver your product as soon as possible with the help of our various shipping partners.
•    After order confirmation, it would take about 3-7 business days to reach your place.
•    The delivery time will vary depending on your delivery location.
•    You will receive the order tracking link on email/WhatsApp after your order is placed.
•    Due to operation constraints, orders can be delayed by few days in rare cases.
•    For bulk and wholesale orders, shipping timelines will be communicated separately at the time of order confirmation and may vary based on order size, product availability, and delivery destination.
•    Wholesale buyers are responsible for providing accurate delivery addresses, GST details for interstate shipments, and any special unloading or logistics requirements at the time of order placement.
•    Filo Hevis reserves the right to arrange shipping via its preferred logistics partners for bulk orders. Any specific logistics requirements from the wholesale buyer must be agreed in writing in advance.

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

Wholesale buyers are encouraged to confirm all bulk order details - including SKUs, sizes, quantities, and pricing - in writing with our B2B team prior to order finalisation. Errors in bulk orders once dispatched may not be eligible for full reversal.

SECTION 13 – PROHIBITED USES
In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the service or any related website.

B2B users are additionally prohibited from: (a) misrepresenting their business identity or credentials during wholesale registration; (b) using Filo Hevis products in a manner that damages the brand's reputation or is contrary to applicable laws; (c) reselling Filo Hevis products under a competing brand name without express written permission; or (d) sharing wholesale pricing, trade terms, or proprietary product information with unauthorised third parties.

We reserve the right to terminate your use of the service or any related website for violating any of the prohibited uses.

SECTION 14 – DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

In no case shall Filo Hevis, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service.

For B2B and wholesale transactions, Filo Hevis's liability in connection with any bulk order shall be limited to the value of the specific order in dispute. Filo Hevis shall not be liable for any indirect business losses, loss of profit, or consequential losses arising from delays, defects, or non-supply of wholesale orders beyond our reasonable control.

SECTION 15 – INDEMNIFICATION
You agree to indemnify, defend and hold harmless Filo Hevis and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

B2B buyers further agree to indemnify Filo Hevis against any claims arising from the resale, distribution, or misuse of Filo Hevis products by the wholesale buyer or their sub-buyers, where such claims result from acts or omissions of the B2B buyer.

SECTION 16 – SEVERABILITY
If any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 17 – TERMINATION
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our services, or when you cease using our site.

For B2B accounts, termination of a wholesale agreement requires written notice of 30 days unless the termination is due to breach of these Terms, in which case immediate termination applies. Any outstanding invoices or bulk orders confirmed prior to termination remain payable and must be fulfilled by both parties as agreed.

SECTION 18 – ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to the service constitute the entire agreement and understanding between you and us, and govern your use of the service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

For B2B and wholesale relationships, any separate written wholesale agreement, trade contract, or purchase order signed between Filo Hevis and the buyer shall supplement these Terms. In the event of a conflict between these Terms and a specific wholesale agreement, the specific wholesale agreement shall prevail for that transaction.

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 19 – GOVERNING LAW
These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of India.
All disputes arising from B2B or wholesale transactions shall be subject to the exclusive jurisdiction of the courts located in Delhi, India. The parties agree to attempt resolution through good-faith negotiation before initiating formal legal proceedings.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. For active B2B wholesale accounts, we will endeavour to notify registered wholesale buyers of any material changes to these Terms via email at least 14 days prior to the changes taking effect.

SECTION 21 – B2B WHOLESALE TERMS & CONDITIONS
This section applies exclusively to wholesale buyers, bulk purchasers, distributors, and trade partners of Filo Hevis.
21.1 Minimum Order Quantity (MOQ)
All wholesale orders are subject to a minimum order quantity as communicated by the Filo Hevis B2B team at the time of account registration or product enquiry. Orders below the stated MOQ will be treated as retail orders and billed at standard retail pricing.
21.2 Wholesale Pricing & Confidentiality
Wholesale pricing is confidential and provided exclusively to registered B2B partners. Sharing of wholesale rates, trade discounts, or pricing structures with any third party is strictly prohibited and may result in immediate termination of the wholesale account.
21.3 Payment Terms
Standard payment terms for wholesale orders are 100% advance unless a credit arrangement has been agreed in writing. Credit terms, if offered, will be specified in the individual wholesale agreement. Filo Hevis reserves the right to withdraw credit facilities at its sole discretion.
21.4 Returns & Defects on Bulk Orders
Wholesale buyers must inspect all bulk orders upon delivery and report any defects, shortages, or discrepancies within 48 hours of receipt. Claims raised after this window may not be accepted. Defective goods, if confirmed, will be replaced or credited at Filo Hevis's discretion. Change-of-mind returns on bulk orders are not accepted.
21.5 Exclusivity
No exclusive distribution rights are implied or granted by these Terms unless explicitly confirmed in a separate written exclusivity agreement signed by an authorised representative of Filo Hevis.
21.6 Brand Usage
Wholesale buyers who wish to use the Filo Hevis brand name, logo, or product imagery in their own marketing, catalogues, or online stores must obtain prior written approval from Filo Hevis. Unauthorised use of Filo Hevis branding is a violation of these Terms.
